Project scopes and retainers are defined in Statements of Work (SOWs).
We do not guarantee editorial outcomes; we commit to professional effort.
Invoices are due within agreed terms; late fees may apply.

1. Acceptance of Terms

By accessing mediavera.bond or engaging Mediavera Grove services, you agree to these Terms and any SOWs executed between us.

2. Services and SOWs

We provide PR and communications services as outlined in SOWs, including deliverables, timelines, and fees. If conflicts arise between these Terms and an SOW, the SOW controls for the applicable project.

3. Client Responsibilities

You agree to provide timely information, designate stakeholders, and secure approvals so we can perform effectively. You confirm you have rights to materials you provide.

4. Fees and Payment

Fees are as stated in the SOW. Unless specified otherwise, invoices are due within 15 days. Past-due balances may accrue interest at the maximum allowed by law and may delay ongoing work.

5. Intellectual Property

Upon full payment, you receive rights to deliverables as defined in the SOW. Our methods, tools, and templates remain our intellectual property.

6. Confidentiality

Each party will keep the other’s confidential information secure and use it only for the project. Press embargoes and sensitive disclosures are handled under this duty.

7. Publicity

We may reference your company name and logo in our materials unless your SOW or a separate agreement states otherwise.

8. Disclaimers

We provide services “as is.” We do not warrant specific editorial outcomes. To the fullest extent permitted by law, we disclaim implied warranties.

9. Limitation of Liability

Neither party is liable for indirect or consequential damages. Our total liability is limited to fees paid for the relevant services in the preceding three months.

10. Indemnification

You will indemnify us against claims arising from materials or instructions you provide that infringe third-party rights or violate law.

11. Termination

Either party may terminate for material breach not cured within 14 days of notice. You will pay for work performed and non-cancelable commitments.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflicts of law principles.

13. Changes

We may update these Terms. Material changes will be posted with an updated “Last updated” date.
